Terms of Service
These terms govern your use of Mosaic, including creating, publishing, remixing, and purchasing custom products.
These Terms of Service (“Terms”) govern your use of the Mosaic platform.
Mosaic is operated by Wardro LLC, an Ohio limited liability company (“Mosaic,” “we,” “us,” or “our”).
By accessing or using Mosaic, creating an account, publishing a design, or placing an order, you agree to these Terms. If you do not agree, you may not use Mosaic.
Please also review our Privacy Policy, which explains how we collect, use, and protect personal information.
The Mosaic Platform
Mosaic allows users to create, generate, edit, store, publish, remix, and use designs to create physical products.
Mosaic may use artificial intelligence and other technologies to provide design and editing functionality.
Mosaic sells physical products to customers and uses third-party manufacturing, printing, fulfillment, and shipping providers to produce and deliver those products.
Mosaic does not physically manufacture or deliver products itself.
Eligibility
You must be at least 13 years old to create or use a Mosaic account.
If you are under 18, you represent that you have permission from a parent or legal guardian to use Mosaic.
If you use Mosaic on behalf of a company, organization, or other entity, you represent that you have authority to bind that entity to these Terms.
Accounts
You are responsible for:
- Providing accurate account information
- Maintaining the security of your account
- Maintaining control of your login credentials
- Activity that occurs through your account
You may not impersonate another person, create accounts for fraudulent purposes, or use another person's account without authorization.
Mosaic may suspend, restrict, or terminate accounts as described in these Terms.
Your Content and Ownership
“User Content” includes designs, prompts, reference images, photographs, uploads, generated images, edits, remixes, instructions, and other content you provide or create through Mosaic.
As between you and Mosaic, you retain whatever ownership or other intellectual-property rights you legally have in your User Content.
Mosaic does not claim ownership of your User Content merely because you create or store it through Mosaic.
However, you may only give Mosaic rights that you actually have.
Your Responsibility for Your Content
You are responsible for User Content you create, upload, remix, publish, or use to order a product.
By using User Content through Mosaic, you represent and warrant that:
- You own the content or have all licenses, permissions, consents, and other rights necessary to use it
- Your use of the content does not violate another person's copyright, trademark, trade dress, publicity rights, privacy rights, likeness rights, or other rights
- Your content and use of Mosaic comply with applicable law
- You have the right to allow Mosaic to process, display, reproduce, manufacture, fulfill, and otherwise use the content as permitted under these Terms
If your design contains a logo, trademark, copyrighted work, photograph, character, artwork, name, likeness, or other protected material, you are representing to Mosaic that you have the rights or permission necessary to use that material.
The fact that Mosaic's technology allows you to create, upload, generate, publish, or order a design does not mean Mosaic has reviewed or approved the design for legal compliance.
Reference Images and Likenesses
If you upload or use a photograph or likeness of an identifiable person, you represent that:
- You are that person, or
- You have the permissions and rights necessary to use and modify that person's image or likeness for the intended purpose
You may not use Mosaic to impersonate, harass, deceive, exploit, demean, or unlawfully misrepresent another person.
Private Designs
Designs are private by default unless you choose to publish them.
For private User Content, you grant Mosaic a worldwide, non-exclusive, royalty-free license to use, reproduce, process, store, modify as technically necessary, and transmit the content only as reasonably necessary to:
- Provide Mosaic's features
- Process the content through AI and other service providers
- Save and display your work
- Create product previews
- Manufacture and fulfill products you order
- Provide customer support
- Maintain and secure the Platform
- Investigate fraud, abuse, or legal issues
- Enforce these Terms
- Comply with applicable law
Private designs are not automatically licensed to Mosaic for public advertising or marketing.
Publishing Designs
If you choose to publish a design, you are intentionally making that design available through Mosaic's public marketplace or other public portions of the Platform.
When you publish a design, other users may:
- View it
- Use it as inspiration
- Remix it
- Modify it
- Create derivative versions through Mosaic
- Create and purchase physical products based on those remixes
Mosaic may maintain links or attribution connecting a remix to the original design.
Publishing a design does not currently entitle you to royalties, commissions, revenue sharing, or other compensation.
Attribution or linkage to an original design does not create a right to payment.
If Mosaic introduces creator compensation in the future, that program will be governed by additional terms.
License for Public Designs
By publishing User Content, you grant Mosaic a worldwide, non-exclusive, royalty-free, sublicensable license to:
- Host and store it
- Display and reproduce it
- Distribute it through Mosaic
- Allow other users to remix and modify it
- Create and display derivative versions
- Create physical products using it
- Promote and operate the Mosaic marketplace
- Feature it in Mosaic marketing and advertising
For marketing and promotional purposes, Mosaic may crop, resize, format, place in mockups, combine, reproduce, display, or otherwise adapt public User Content.
Mosaic may use public User Content in advertising, social media, emails, websites, app-store materials, promotional campaigns, and other Mosaic marketing without additional permission or payment to you.
You retain whatever underlying ownership rights you legally have in the content.
Account Deletion and Designs
Deleting your Mosaic account does not automatically delete designs you created.
Designs may remain on Mosaic after account deletion and may become unassigned or otherwise no longer connected to an active user account.
Existing remixes, attribution relationships, transaction records, and Platform history may remain intact.
Licenses granted under these Terms may continue to the extent reasonably necessary to maintain existing designs, remixes, products, transactions, marketing materials already created, legal records, and Platform functionality.
Mosaic may also retain records where reasonably necessary for legal compliance, intellectual-property disputes, fraud prevention, payment disputes, accounting, tax obligations, or legal claims.
Artificial Intelligence
Mosaic uses artificial intelligence services, including services provided by OpenAI.
Your prompts, reference images, designs, instructions, and related information may be processed through OpenAI to provide Mosaic's AI features.
AI-generated outputs may:
- Be inaccurate
- Be incomplete
- Be unexpected
- Be non-unique
- Resemble existing works
- Contain elements that may implicate third-party rights
Mosaic does not guarantee that AI-generated content is original, unique, copyrightable, trademark-safe, or otherwise legally cleared for your intended use.
You remain responsible for determining whether you have the rights necessary to publish, use, sell, reproduce, or order products containing your User Content.
The fact that Mosaic or OpenAI successfully generates an image does not constitute legal approval of that image.
Intellectual Property Rules
You may not use Mosaic to create, upload, publish, sell, distribute, or knowingly order content that infringes or violates another person's rights.
This includes unauthorized use of:
- Copyrighted artwork or designs
- Trademarks
- Brand names or logos
- Sports team or university marks
- Characters or other protected creative works
- A person's name, image, or likeness
- Other protected intellectual property
Mosaic does not routinely pre-screen every private design or every order for potential intellectual-property infringement.
Users are responsible for complying with these rules.
However, Mosaic may review User Content where reasonably necessary to operate the Platform, respond to complaints, enforce these Terms, prevent abuse, comply with law, or protect Mosaic or others.
Intellectual Property Complaints
Rights holders may report specific User Content they believe infringes their rights by contacting:
A complaint should provide enough information for Mosaic to reasonably identify:
- The rights being claimed
- The content at issue
- The complaining party or authorized representative
- The basis for the complaint
Mosaic may request additional information before taking action.
Upon receiving a sufficiently specific and credible complaint, Mosaic may investigate and take action that it considers appropriate, including:
- Removing or disabling the identified content
- Removing the content from public areas of Mosaic
- Preventing additional use or availability of the identified content
- Restricting the responsible account
- Suspending or terminating the responsible account
Mosaic does not undertake a general obligation to proactively search all private User Content for potential infringement.
Mosaic also reserves the right to remove or restrict content without receiving a formal complaint if Mosaic believes the content violates these Terms or creates legal or Platform risk.
Copyright Notices and Appeals
Mosaic may process copyright infringement notices and counter-notices in accordance with applicable copyright law, including the Digital Millennium Copyright Act where applicable.
Users whose content is removed may be allowed to submit a counter-notice or other appeal where appropriate.
For trademark, likeness, or other intellectual-property complaints, Mosaic may provide an internal review or appeal process.
Submitting an appeal does not guarantee that content will be restored.
Mosaic may keep content unavailable while a complaint or appeal is being reviewed.
Restoring content does not constitute a guarantee by Mosaic that the content is lawful or non-infringing.
Mosaic may suspend or permanently terminate users who repeatedly violate intellectual-property rights or these Terms.
Mosaic may also immediately suspend or terminate an account for serious, deliberate, fraudulent, or egregious violations without providing multiple warnings.
Marketplace Moderation
Mosaic controls what content appears in public areas of the Platform.
Mosaic may remove, hide, restrict, deprioritize, or make unavailable any public design or other User Content at any time if Mosaic believes it:
- Violates these Terms
- May infringe another person's rights
- Is unlawful
- Is fraudulent or misleading
- Is abusive or inappropriate
- Is spam or low-quality content
- Creates legal, safety, or reputational risk
- Interferes with the marketplace experience
- Is otherwise unsuitable for Mosaic
Mosaic is not required to keep any particular design publicly available.
Removal does not necessarily mean Mosaic has made a final legal determination regarding the content.
Prohibited Conduct
You may not use Mosaic to:
- Violate applicable law
- Infringe intellectual-property or other rights
- Commit fraud
- Use stolen or unauthorized payment methods
- Manipulate promotions, discounts, payments, orders, or accounts
- Impersonate another person
- Harass, threaten, deceive, or exploit others
- Upload malicious software or code
- Attempt to bypass Mosaic's security or technical restrictions
- Scrape or automatically extract Platform content without authorization
- Interfere with the operation of Mosaic
- Abuse, overload, or misuse Mosaic's systems
- Use the Platform for unlawful or harmful purposes
Mosaic may establish additional content or community rules from time to time.
Purchasing Products
When you purchase a physical product through Mosaic, you are purchasing that product from Mosaic.
Mosaic may use third-party manufacturers, printers, fulfillment providers, shipping companies, and other contractors to produce and deliver your order.
Those providers may receive the information and files reasonably necessary to fulfill the order.
Users whose designs appear on Mosaic are not currently the seller of the physical product and do not automatically receive revenue, royalties, or commissions from the sale.
Prices, Taxes, and Fees
Prices and charges shown on Mosaic may include or separately display:
- Product prices
- Shipping charges
- Taxes
- Import duties or import-related charges
- Payment-processing charges
- Other applicable fees
The total amount charged will be shown at checkout before you complete your purchase.
Mosaic may change prices, shipping charges, fees, discounts, or other charges at any time for future purchases.
Changes will not retroactively alter the amount you already agreed to pay for a completed purchase.
You are responsible for any taxes, customs duties, import charges, or other government-imposed amounts that apply to your purchase and are not already collected by Mosaic at checkout.
Payment Processing
Payments are processed through Stripe or another payment-processing provider selected by Mosaic.
Mosaic does not receive or store your full payment-card number.
By placing an order, you authorize Mosaic and its payment provider to charge the payment method you provide for the total displayed at checkout.
Mosaic may refuse, hold, or cancel transactions if it reasonably suspects:
- Fraud
- Unauthorized payment activity
- Stolen payment information
- Promotion or discount abuse
- Pricing manipulation
- Account abuse
- Other suspicious activity
Pricing and Checkout Errors
Mosaic may correct errors involving:
- Product prices
- Discounts or promotional codes
- Shipping charges
- Taxes
- Fees
- Product information
- Checkout calculations
- Technical or system errors
If an order is placed based on an obvious error, Mosaic may cancel the affected order and refund the amount paid.
Mosaic is not required to honor a price, discount, or other checkout result that resulted from an obvious mistake, technical malfunction, or unauthorized manipulation.
Order Finality and Cancellations
Mosaic products are generally custom-made specifically for each order.
Once you submit an order, the order is final and cannot normally be changed or canceled.
Production may begin shortly after checkout, and Mosaic does not guarantee that an order can be intercepted or modified once submitted.
Please review your design, product, size, shipping address, and order information carefully before completing checkout.
Mosaic may cancel an order when permitted under these Terms, including when:
- Mosaic suspects fraud or abuse
- There is a pricing or technical error
- The product becomes unavailable
- The order cannot reasonably be fulfilled
- The order or account violates these Terms
If Mosaic cancels a paid order that will not be fulfilled, Mosaic will generally refund the amount paid for that canceled order.
Product Previews
Images, mockups, previews, and other representations shown on Mosaic are approximations of the final physical product.
The manufactured product may differ from the digital preview in reasonable ways, including:
- Color
- Brightness
- Cropping
- Scale
- Placement
- Print positioning
- Material appearance
- Texture
- Dimensions
- Other manufacturing characteristics
Screens display colors differently, and manufacturing processes can produce natural variation.
Reasonable differences between a digital preview and the physical product do not automatically constitute a defect.
Returns, Refunds, and Product Issues
Because Mosaic products are custom-made, all sales are generally final.
Mosaic does not accept returns or provide refunds solely because of:
- Buyer's remorse
- A change of mind
- Selecting the wrong size or product
- Disliking a design after purchasing it
- Reasonable differences between screen colors and printed colors
- Reasonable manufacturing or print variations
If an item arrives:
- Damaged
- Defective
- Incorrect
- Materially different from what was ordered
you must contact Mosaic at hello@wardro.io within 7 days of delivery.
You may be required to provide:
- Your order information
- Photographs
- A description of the problem
- Other reasonable evidence Mosaic requests
If Mosaic determines that a legitimate product problem occurred, Mosaic may provide an appropriate remedy, which may include a replacement or refund.
Mosaic determines the appropriate remedy based on the circumstances, subject to rights that cannot legally be waived.
Shipping and Delivery
Production, shipping, and delivery dates shown by Mosaic are estimates unless expressly stated otherwise.
Mosaic uses third-party providers and carriers to manufacture and deliver products.
Delays may occur because of production issues, carrier delays, weather, customs, supply-chain problems, incorrect addresses, or other circumstances.
Mosaic does not guarantee a particular delivery date unless Mosaic expressly says otherwise.
Nothing in these Terms limits any shipping, delay, cancellation, or refund rights that applicable law requires Mosaic to provide.
Shipping Addresses
You are responsible for providing a complete and accurate shipping address.
Mosaic is not required to refund or replace an order solely because you provided an incorrect or incomplete shipping address and the order was shipped according to the information you provided.
If Mosaic becomes aware of an address problem before fulfillment and can reasonably correct it, Mosaic may choose to assist, but Mosaic does not guarantee that changes can be made.
Lost and Delivered Packages
If a carrier confirms that a package was genuinely lost in transit or was never delivered, Mosaic will reasonably investigate the situation.
If the loss is confirmed, Mosaic may provide a replacement or refund depending on the circumstances.
If tracking information shows that a package was delivered to the shipping address provided by the customer, but the customer reports that the package cannot be located, Mosaic may investigate and attempt to assist.
However, Mosaic is not automatically required to refund or replace a package that a carrier confirms was delivered to the address provided, subject to applicable law.
Unable to Fulfill an Order
Mosaic may cancel an order if the product becomes unavailable or Mosaic otherwise cannot reasonably fulfill it.
If Mosaic cancels a paid order for this reason, Mosaic may refund the amount paid instead of locating another manufacturer or method of production.
Communications
By providing an email address or phone number, you agree that Mosaic may send communications reasonably necessary to operate your account or complete transactions, including:
- Authentication messages
- Security notices
- Receipts
- Order confirmations
- Production updates
- Shipping and delivery updates
- Customer-support communications
- Important service or policy notices
Mosaic may also send marketing emails where permitted by law.
You may unsubscribe from marketing emails through the unsubscribe mechanism provided.
Marketing or promotional text messages will be sent only where Mosaic has obtained the consent or other authorization required by applicable law.
Opting out of marketing does not prevent Mosaic from sending necessary account, security, transactional, or order-related communications.
Third-Party Services
Mosaic relies on third-party services, including payment processors, AI providers, analytics providers, hosting providers, manufacturers, fulfillment providers, and shipping carriers.
Mosaic does not control every aspect of those third-party systems and cannot guarantee that third-party services will always be uninterrupted, error-free, or available.
However, this section does not eliminate obligations Mosaic has to customers under applicable consumer law.
Use of certain third-party services may also be subject to those providers' terms and policies.
Changes to Mosaic
Mosaic may add, remove, modify, suspend, or discontinue:
- Features
- Products
- Designs
- Marketplace functionality
- Pricing
- Promotions
- Services
- Portions of the Platform
Mosaic does not guarantee that any particular feature or product will remain available permanently.
This does not eliminate obligations Mosaic already owes in connection with completed purchases or applicable law.
Suspension and Termination
Mosaic may suspend, restrict, or terminate your account if Mosaic reasonably believes you:
- Violated these Terms
- Violated another person's rights
- Engaged in fraud or abuse
- Created legal or security risk
- Misused Mosaic
- Repeatedly violated Mosaic's policies
Mosaic may also take immediate action for serious violations.
If an account is suspended or terminated while an order is pending, Mosaic may either allow the order to proceed or cancel the order and provide an appropriate refund, depending on the circumstances.
Sections of these Terms that by their nature should survive termination will continue to apply.
Affiliate and Promotional Programs
Mosaic may offer affiliate, influencer, referral, promotional, creator, or similar programs.
Participation in those programs may require acceptance of separate program terms.
No user has a right to commissions, royalties, referral payments, creator payments, or other compensation unless Mosaic expressly agrees to provide that compensation under an applicable program.
Disclaimer of Warranties
To the fullest extent permitted by law, Mosaic and the Platform are provided “as is” and “as available.”
Mosaic does not guarantee that:
- The Platform will always be available
- The Platform will be uninterrupted or error-free
- AI outputs will meet your expectations
- AI outputs will be unique or original
- User Content will be lawful or non-infringing
- Every design will remain available
- Every third-party service will operate without interruption
- Search results, recommendations, previews, or other Platform information will always be accurate
Nothing in these Terms excludes warranties or consumer protections that cannot legally be excluded.
Limitation of Liability
To the fullest extent permitted by law, Wardro LLC and its officers, employees, contractors, affiliates, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to Mosaic.
This includes, where legally permitted, loss of profits, data, business opportunities, goodwill, or other intangible losses.
To the fullest extent permitted by law, Mosaic's aggregate liability arising from or relating to the Platform or these Terms will not exceed the greater of:
(a) the amount you paid to Mosaic during the 12 months immediately preceding the event giving rise to the claim, or (b) $100.
These limitations do not apply where applicable law prohibits them.
Responsibility for Claims Caused by Your Content
You are responsible for the User Content you submit and for complying with the promises you make under these Terms.
To the extent permitted by law, if your User Content, your infringement of another person's rights, your misuse of Mosaic, or your material violation of these Terms causes a third-party claim against Mosaic, you agree to be responsible for resulting losses, liabilities, and reasonable costs incurred by Mosaic.
This section is intended to allocate responsibility for claims caused by your conduct. It does not make you responsible for claims caused solely by Mosaic's own conduct.
Governing Law
These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-law principles, except where applicable law requires otherwise.
Informal Dispute Resolution
Before filing arbitration or another permitted proceeding, you and Mosaic agree to first attempt to resolve the dispute informally.
You may begin this process by sending a written description of the dispute and the relief requested to:
The parties will attempt in good faith to resolve the dispute for at least 30 days before beginning arbitration, unless immediate action is legally necessary.
Binding Arbitration
Except for disputes eligible for small-claims court and disputes that applicable law does not permit to be arbitrated, disputes arising from or relating to these Terms or Mosaic will be resolved through individual binding arbitration rather than in court.
Arbitration will be administered by the American Arbitration Association under its applicable consumer arbitration rules unless the parties agree otherwise.
The arbitrator may award the same individual remedies that would be available in court, subject to applicable law and these Terms.
Nothing in this section prevents either party from seeking appropriate temporary or emergency relief where legally permitted.
Class Action and Jury Trial Waiver
To the fullest extent permitted by law, disputes must be brought individually and not as part of a class, collective, consolidated, or representative action.
You and Mosaic each waive the right to a trial by jury for disputes subject to arbitration.
If applicable law prevents enforcement of a particular portion of this section, that portion will be handled as required by law while the remainder will continue to apply to the fullest extent possible.
Arbitration Opt-Out
You may opt out of the arbitration agreement by emailing hello@wardro.io within 30 days after you first accept these Terms.
Your notice must clearly state that you are opting out of arbitration and include enough information for Mosaic to identify your account.
Opting out of arbitration does not opt you out of the remaining Terms.
Changes to These Terms
Mosaic may update these Terms from time to time.
When we make changes, we will update the “Last Updated” date.
If changes are material, Mosaic may provide additional notice where appropriate or required by law.
Changes generally apply prospectively.
Your continued use of Mosaic after updated Terms become effective constitutes acceptance of the updated Terms where permitted by law.
General Terms
Entire Agreement
These Terms and any additional terms that expressly apply to a particular Mosaic feature or program constitute the agreement between you and Mosaic regarding your use of the Platform.
Severability
If part of these Terms is found unenforceable, the remaining provisions will continue in effect to the fullest extent permitted by law.
No Waiver
If Mosaic does not enforce a provision immediately, that does not waive Mosaic's right to enforce it later.
Assignment
You may not transfer your rights or obligations under these Terms without Mosaic's permission.
Mosaic may assign these Terms in connection with a merger, acquisition, restructuring, sale of assets, financing, or similar transaction.
Force Majeure
Mosaic will not be responsible for delays or failures caused by circumstances beyond its reasonable control, subject to obligations that cannot legally be waived.
Electronic Communications
You agree that notices and communications provided electronically may satisfy legal requirements that communications be in writing, where permitted by law.
Headings
Section headings are provided for convenience and do not alter the meaning of these Terms.
